Agreement to these Terms

These Terms of Use (the "Terms") govern your access to and use of uyield.finance, app.uyield.finance, getuyield.com, and every page, application, and service we make available on those domains (together, the "Interface"). By accessing the Interface, connecting a wallet, or submitting a transaction through it, you agree to these Terms, our Privacy Policy, and our Risk Disclosure. If you do not agree, do not use the Interface.

You will be asked to accept these Terms in the app after connecting a wallet and before your first transaction. We record the accepting wallet, the Terms version, and a timestamp. When we publish a new version, you will be asked to accept it again before transacting.

Who we are and what UYield is

UYield is operated by an early-stage company organized in the State of Colorado, USA (the "Operator"). References to "UYield", "we", "us", and "our" mean the Operator. Contact: legal@uyield.finance.

UYield is a non-custodial software interface. It displays information about third-party on-chain vaults, and it helps you construct blockchain transactions that you review, sign, and submit from your own wallet directly to those vault smart contracts. UYield is not a bank, exchange, broker-dealer, investment adviser, money transmitter, or custodian, and using the Interface does not give you the statutory or regulatory protections that apply to customers of regulated financial services.

Eligibility and restricted jurisdictions

You may use the Interface only if you are at least 18 years old, have the legal capacity to enter into these Terms, and are not barred from using it under the laws that apply to you.

The app is not available in comprehensively sanctioned jurisdictions, and we use geo-controls to restrict access from them. You may not use the Interface if you are located in, organized in, or a resident of any such jurisdiction; if you are listed on any sanctions list maintained by the United States (including the OFAC SDN list), the United Nations, the European Union, or the United Kingdom; or if you are acting for anyone who is. You agree not to use a VPN, proxy, or any other method to disguise your location or circumvent these controls.

You are solely responsible for determining whether accessing and using the Interface, and depositing into any vault, is lawful where you live. Availability of the Interface is not a representation that its use is lawful in your jurisdiction.

Non-custodial nature of the service

UYield never holds, controls, or has access to your funds or private keys. Every deposit, withdrawal, request, and claim is a transaction that you sign in your own wallet and that is sent directly to a vault smart contract. We cannot execute, reverse, cancel, freeze, or recover any transaction, and we cannot recover funds sent to a wrong address or lost through a compromised or lost wallet.

You are solely responsible for your wallet, your keys, your seed phrase, and the security of the devices you use. If you lose control of your wallet, you lose control of your vault positions. Nobody at UYield will ever ask for your seed phrase or private key.

The Interface, the protocols, and the vaults

The vaults shown on the Interface are smart contracts deployed on public blockchains and built on third-party vault infrastructure using open standards (ERC-4626 and ERC-7540). Strategies are managed by independent professional curators within limits enforced by the contracts. The contracts, the underlying protocols they allocate to, and the blockchains they run on are not operated by UYield, and we do not control them.

Each vault's page states its contract address, chain, standard, fees, minimums, capacity, and withdrawal terms. Verify the contract address before depositing. Some vaults settle deposits and withdrawals in batches at published settlement windows; you cannot skip a settlement window, and pending requests remain subject to market movement until settled.

No advice; no brokerage; taxes

Everything on the Interface, including vault pages, documentation, and the assistant, is provided for informational purposes only. Nothing on the Interface is investment, financial, legal, accounting, or tax advice, or a recommendation, solicitation, or offer to buy or sell any asset or to use any strategy. UYield does not act as your broker, intermediary, agent, adviser, or fiduciary.

Yield figures are labeled as targets or realized rates, are net of vault fees, exclude gas, vary over time, and are not guaranteed. Past performance does not predict future results. You are solely responsible for evaluating any vault before depositing and for all taxes that arise from your transactions.

Fees

Each vault charges the fees shown on its page before you deposit — for example management, performance, and exit fees. Displayed APY figures are net of vault fees and exclude network (gas) costs, which you pay separately for every transaction. UYield is compensated through a share of vault fee streams, as described in our Disclosures. Fee schedules for new deposits may change; the fees that apply to a deposit are the ones displayed on the vault page at the time you transact.

Risks

Using on-chain vaults involves substantial risk, including smart-contract failure, curator and strategy underperformance, settlement delays, stablecoin depegs, market movements, third-party protocol failures, and regulatory change. You can lose your entire deposit. Our Risk Disclosure describes these risks in more detail and forms part of these Terms. By transacting through the Interface you acknowledge that you understand and accept these risks and that you alone bear them.

Third-party infrastructure and curators

Vault contracts are built on third-party infrastructure, and strategies are run by independent curators. Audit reports linked from the Interface are prepared by third parties, speak only as of their date, and do not eliminate risk or amount to an endorsement by UYield. Curators' decisions, performance, and disclosures are their own; UYield does not direct allocation decisions and does not warrant any curator's performance.

The Interface may link to third-party websites, explorers, wallets, and documentation. We do not control them and are not responsible for their content or conduct.

Assistant limitations

"Ask UYield" is an automated assistant that explains how the product works from our knowledge base. Its answers may be incomplete, outdated, or wrong, and they are never investment, legal, or tax advice or a promise about outcomes. The vault pages, these Terms, the Risk Disclosure, and the contracts themselves control over anything the assistant says. Assistant conversations are logged as described in the Privacy Policy.

Acceptable use

You agree not to use the Interface to violate any law or sanctions program; to attempt to exploit, disrupt, overload, or gain unauthorized access to the Interface, the vaults, or any related system; to engage in market manipulation or money laundering; to misrepresent your identity or location; to scrape or harvest data at scale without permission; or to infringe anyone's rights. We may restrict wallets and access where we believe, in good faith, that use violates these Terms or applicable law, including on the basis of third-party wallet-screening results.

Intellectual property

The UYield name, wordmark, bolt mark, site design, text, and software of the Interface are owned by the Operator or its licensors. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Interface for its intended purpose. You may not copy, modify, distribute, or create derivative works from the Interface except as allowed by law. If you send us feedback, you grant us a perpetual, royalty-free license to use it without restriction. The underlying vault contracts and open standards remain subject to their own licenses.

Disclaimers of warranties

THE INTERFACE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Interface will be uninterrupted, error-free, or secure; that displayed data (including balances, APY, TVL, capacity, and settlement times, which depend on third-party RPC and indexing services) is accurate, complete, or current; or that any vault or protocol will perform as described. If the Interface is unavailable, your funds remain in the vault contracts, which you can interact with directly on-chain.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR AND ITS OFFICERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, ASSETS, DATA, OR GOODWILL, ARISING FROM OR RELATING TO YOUR USE OF THE INTERFACE OR ANY VAULT, EVEN IF ADVISED OF THE POSSIBILITY. THIS INCLUDES LOSSES CAUSED BY SMART-CONTRACT FAILURES, CURATOR DECISIONS, DEPEGS, PROTOCOL FAILURES, BLOCKCHAIN OUTAGES, OR WALLET COMPROMISE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE INTERFACE WILL NOT EXCEED THE GREATER OF (A) US $100 AND (B) THE FEES ACTUALLY RECEIVED BY THE OPERATOR THAT ARE ATTRIBUTABLE TO YOUR VAULT POSITIONS IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain exclusions or limits; where they apply to you, these provisions apply to the fullest extent permitted.

Indemnification

You agree to indemnify and hold harmless the Operator and its officers, employees, and contractors from claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Interface, your transactions with any vault, your violation of these Terms, or your violation of any law or third-party right.

Dispute resolution and governing law

These Terms are governed by the laws of the State of Colorado, USA, without regard to conflict-of-laws rules. Before filing any claim, you agree to contact us at legal@uyield.finance and give us 30 days to try to resolve it informally.

Any dispute that is not resolved informally will be settled by final and binding arbitration administered by the American Arbitration Association under its rules, seated in Colorado, conducted in English, before a single arbitrator, with the arbitration conducted remotely where practical. YOU AND UYIELD EACH WAIVE THE RIGHT TO A JURY TRIAL AND AGREE THAT DISPUTES WILL BE ARBITRATED ONLY ON AN INDIVIDUAL BASIS: CLASS ACTIONS AND CLASS ARBITRATIONS ARE WAIVED TO THE EXTENT PERMITTED BY LAW. Either party may instead bring an individual claim in small-claims court, and either party may seek injunctive relief in court for infringement or misuse of intellectual property or for unauthorized access to systems.

You may opt out of this arbitration agreement by emailing legal@uyield.finance within 30 days of first accepting these Terms, stating your wallet address and that you opt out of arbitration. If the arbitration agreement is found unenforceable for you, disputes will be resolved exclusively in the state or federal courts located in Colorado, and you consent to their jurisdiction. If the law of your place of residence prohibits mandatory arbitration of consumer disputes, this section applies only to the extent it permits.

Changes, suspension, and termination

We may update the Interface, these Terms, and our documentation at any time. Material changes to the Terms take effect when posted with a new version number, and you will be asked to accept them before your next transaction. We may suspend or restrict the Interface, any feature, or any wallet's access at any time, including for maintenance, security, legal compliance, or suspected abuse. Because the service is non-custodial, suspension of the Interface does not affect your on-chain positions, which remain accessible directly through the vault contracts.

General

These Terms, the Privacy Policy, the Risk Disclosure, and the Disclosures are the entire agreement between you and the Operator about the Interface. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a reorganization or transfer of the business. Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship. Notices to us go to legal@uyield.finance; notices to you may be posted on the Interface.
